01.Acceptance of Terms

By accessing or using any SaaSNest product or service (including Retail ERP and any future products), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and SaaSNest.

02.Description of Service

• ·SaaSNest provides cloud-based business management software including but not limited to billing, inventory management, CRM, accounting, and reporting tools.
• ·Services are provided on a subscription basis (monthly or annual billing cycles).
• ·We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable prior notice.
• ·Feature availability may vary depending on your subscription plan.

03.User Accounts

• ·You must provide accurate, complete, and current information when creating an account.
• ·You are responsible for maintaining the confidentiality of your login credentials.
• ·You are responsible for all activity that occurs under your account.
• ·You must be at least 18 years of age to use SaaSNest services.
• ·One account per business entity. Sharing accounts across multiple businesses is not permitted.
• ·Notify us immediately at support@saasnest.in if you suspect unauthorised use of your account.

04.Subscription & Payment

• ·Subscriptions are billed annually (or as per the selected plan) in advance.
• ·All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
• ·Payments are processed securely via Razorpay. We do not store your card or banking details.
• ·Subscriptions auto-renew unless cancelled before the renewal date.
• ·Upgrading your plan takes effect immediately; the difference is prorated.
• ·Downgrading takes effect at the start of the next billing cycle.

05.Acceptable Use

• ·You may not use SaaSNest services for any unlawful purpose or in violation of any regulations.
• ·You may not attempt to gain unauthorised access to any part of the service or its infrastructure.
• ·You may not use the service to transmit spam, viruses, or harmful content.
• ·You may not reverse-engineer, decompile, or disassemble any part of the software.
• ·You may not resell, sublicense, or redistribute the service without express written consent.
• ·Violation of acceptable use policies may result in immediate account termination without refund.

06.Data & Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SaaSNest, you consent to the collection and use of your data as described in the Privacy Policy.

07.Intellectual Property

• ·All software, content, trademarks, and intellectual property on SaaSNest platforms are owned by SaaSNest or its licensors.
• ·We grant you a limited, non-exclusive, non-transferable licence to use the software solely for your internal business purposes during your active subscription.
• ·Your business data entered into the platform remains your property at all times.
• ·You may export your data at any time during your subscription.

08.Limitation of Liability

• ·SaaSNest is provided "as is" without warranties of any kind, express or implied.
• ·We do not guarantee uninterrupted or error-free service. We strive for 99.9% uptime.
• ·SaaSNest shall not be liable for any indirect, incidental, special, or consequential damages.
• ·Our total liability to you for any claim shall not exceed the amount paid by you in the 3 months preceding the claim.
• ·We are not responsible for any data loss caused by user error or third-party integrations.

09.Termination

• ·You may cancel your subscription at any time through your account settings or by contacting support.
• ·We may terminate or suspend your account for violation of these Terms, non-payment, or unlawful use.
• ·Upon termination, your access to the service will cease at the end of the current billing period.
• ·We will retain your data for 30 days after termination, after which it may be permanently deleted.
• ·You may request a data export before or within 30 days of cancellation.

10.Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in India. We encourage resolution of disputes through amicable discussion before resorting to legal proceedings.

11.Changes to Terms

SaaSNest reserves the right to update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
